Counsel Review Draft – v0.2
Effective Date: 2026-09-24
Last Updated: 2026-09-24
DACS – the Defensible Analytics Control Specification – is a publicly available, vendor-neutral specification stewarded by DataVaultAlliance Holdings, LLC (“DataVaultAlliance”, “DVA”, “we”, “us”, or “our”).
DVA permits royalty-free implementation of the published normative requirements of DACS under these terms. DVA retains ownership and control of the authoritative DACS Specification, official publications, training materials, certification programs, conformance requirements, trademarks, certification marks, and authorized-provider programs.
Our objective is straightforward:
Make DACS easy to learn, discuss, cite, redistribute in its designated public form, and implement – while keeping the authoritative specification, official conformance, certification, training, and source-identifying marks under DataVaultAlliance stewardship.
By exercising a permission or license granted on this page, you agree to the conditions that apply to that permission or license.
1. DACS and DataVaultAlliance Stewardship
DACS is a specification for establishing, evaluating, recording, and governing the evidence required to support stated decision uses of information, analytics, AI-assisted outputs, automated actions, and related decision processes.
DataVaultAlliance owns and stewards the official DACS framework and maintains the authoritative DACS Specification.
DataVaultAlliance determines and publishes the official DACS Specification, versions, revisions, errata, Profiles, normative control requirements, evidence obligations, conformance requirements, assessment criteria, certification requirements, official training programs, and authorized DACS marks, badges, and designations.
DACS is not a law, regulation, governmental standard, regulatory approval, accounting standard, auditing standard, or governmental certification.
2. Authoritative Source
The authoritative source for DACS is: https://dacs.datavaultalliance.com
Only material published or expressly designated by DataVaultAlliance as authoritative or normative constitutes an official DACS normative source.
Third-party summaries, explanations, translations, adaptations, diagrams, presentations, implementations, articles, training materials, AI-generated content, or derivative materials are not authoritative DACS sources unless DataVaultAlliance expressly designates them as such in writing.
Redistributed copies of official DACS publications may become outdated. Before relying on a redistributed copy, users should verify the current version and status against the authoritative source.
Unless DataVaultAlliance expressly states otherwise, English is the authoritative language of DACS.
3. Normative and Informative Materials
Unless a publication expressly states otherwise:
- the DACS Specification is the primary normative framework source;
- DACS Profiles, conformance criteria, control requirements, and related materials are normative only when DataVaultAlliance expressly designates them as normative or incorporates them into an applicable DACS version or conformance program;
- the DACS Executive Brief is informative;
- the DACS Manifesto is informative;
- worked examples and completed cases are informative;
- website pages and Articles are informative;
- implementation guidance is informative unless expressly designated otherwise; and
- training materials are educational and do not supersede the authoritative DACS Specification.
If informative material conflicts with an applicable normative source, the normative source controls.
4. Ownership and Reserved Rights
Except where otherwise identified, DataVaultAlliance owns or controls the copyrights and other applicable intellectual property rights in the official DACS materials created by or for DataVaultAlliance, including the DACS Specification, Executive Brief, Manifesto, diagrams, graphics, templates, examples, website content, courseware, instructional materials, assessment materials, certification materials, and related publications.
Making a DACS publication publicly available does not place that publication in the public domain and does not transfer ownership of the publication.
Nothing in these terms claims copyright ownership over ideas, methods, procedures, processes, systems, principles, facts, or other subject matter that applicable law does not protect by copyright.
All rights not expressly granted are reserved.
5. DACS Public Core Publications
DataVaultAlliance designates the following as DACS Public Core Publications:
- DACS Executive Brief;
- DACS Manifesto;
- DACS Specification;
- the publicly designated blank DACS Gate template; and
- the publicly designated completed DACS Gate example.
These materials are made available without a purchase requirement.
DataVaultAlliance may designate additional materials as DACS Public Core Publications in the future.
Some other DACS materials may be made available at no charge but may require registration, contact information, participation in a workshop, training enrollment, certification status, membership, or another access condition. Free access does not by itself make a publication a DACS Public Core Publication and does not create redistribution, modification, training, certification, or trademark rights.
6. Royalty-Free Implementation License
Subject to these terms, DataVaultAlliance grants any person or organization a nonexclusive, worldwide, royalty-free permission to implement the normative requirements of a published DACS Specification.
No implementation royalty is owed to DataVaultAlliance solely because an organization implements DACS.
Royalty-free implementation is permitted for internal and commercial use, including implementation by enterprises, government organizations, technology vendors, software providers, consultants, professional services organizations, system integrators, and other implementers.
An implementation may include software, processes, controls, workflows, documentation, services, or combinations of these.
An implementer may charge for its own software, products, consulting, integration, implementation, assessment preparation, or other professional services that use or support DACS.
The royalty-free implementation permission does not grant DACS certification, DataVaultAlliance verification of conformance, authority to issue DACS certifications, authority to provide Official DACS Training, authority to represent the implementer as an authorized DataVaultAlliance trainer, assessor, consultancy, partner, agent, or representative, ownership of DACS materials, unrestricted reproduction or modification rights in DACS publications, rights in restricted training or assessment materials, or unrestricted rights to use DACS, DataVaultAlliance, certification badges, logos, or other source-identifying marks.
Implementation and official certification are separate.
7. Stability of the Royalty-Free Implementation Permission
For a DACS version published by DataVaultAlliance under these terms, DataVaultAlliance will not retroactively impose an implementation royalty solely for continued implementation of that published version.
DataVaultAlliance may publish later DACS versions with different requirements and may determine which versions remain eligible for current certification, reassessment, renewal, support, or other official programs.
An organization continuing to implement an older DACS version should accurately identify that version when version information is material to a public claim.
Nothing in this section prevents DataVaultAlliance from enforcing these terms, its intellectual property rights, certification rules, or separate agreements.
8. Essential Patent Claims Controlled by DataVaultAlliance
To the extent DataVaultAlliance owns or controls a patent claim that would necessarily be infringed solely by implementing a normative requirement of a DACS Specification published under these terms, DataVaultAlliance grants a nonexclusive, worldwide, royalty-free license under that claim solely as necessary to implement that normative requirement.
This commitment applies only to patent claims that DataVaultAlliance has the legal right to license and that are essential to implementation of the applicable normative requirement.
It does not grant rights to third-party patents, optional technologies not required by DACS, enabling technologies that are not themselves required by a DACS normative requirement, unrelated inventions, or patents that are not necessarily practiced by implementation of DACS.
DataVaultAlliance does not represent that third parties hold no patent rights relevant to a particular implementation.
DataVaultAlliance may establish reasonable defensive patent provisions in a separate patent policy.
9. Redistribution of DACS Public Core Publications
DataVaultAlliance grants permission to reproduce and redistribute a DACS Public Core Publication without paying a royalty if all of the following conditions are met:
- the publication is reproduced and redistributed in its complete and unmodified form;
- all copyright, attribution, version, source, and legal notices remain intact;
- DataVaultAlliance is clearly identified as the publisher and steward;
- the publication continues to identify the authoritative DACS source;
- the publication is not represented as created, owned, certified, or endorsed by the redistributor;
- the publication is not presented in a way that falsely implies affiliation, sponsorship, authorization, certification, or endorsement by DataVaultAlliance; and
- no separate fee is represented as a charge for the DACS Public Core Publication itself.
A DACS Public Core Publication may be included with paid consulting, implementation, education, or other services, provided the publication remains identified as a freely available DataVaultAlliance publication and the surrounding offering does not imply official DACS status that has not been granted.
DataVaultAlliance encourages recipients of redistributed copies to return to the authoritative DACS source to verify the current version.
10. Authoritative Source Notice
DataVaultAlliance may include an Authoritative Source notice in DACS Public Core Publications substantially similar to the following:
Authoritative Source
DataVaultAlliance maintains the authoritative DACS Specification and official DACS publications. This publication may be redistributed in its complete, unmodified form. Redistributed copies may become outdated. Verify the current authoritative version at https://dacs.datavaultalliance.com/ before relying on this publication.
Removal or alteration of an Authoritative Source notice is not permitted when redistributing a DACS Public Core Publication under these terms.
11. Templates and Completed Examples
A DACS template expressly designated for implementation use may be copied and completed for its intended purpose.
Users may enter organization-specific scope, evidence, results, dates, decisions, findings, remediation information, and other implementation content into fields intended for completion.
Completing a DACS template does not mean that DataVaultAlliance reviewed, approved, certified, or endorsed the resulting record.
Required copyright, attribution, source, and legal notices must remain intact.
A completed example published by DataVaultAlliance is informative. It may not be altered and then represented as an official DACS example, nor may it be represented as evidence for another organization, implementation, or decision scope.
12. Quotations, Commentary, Research, and Presentations
Accurate discussion of DACS is encouraged.
Subject to applicable law and these terms, a person or organization may refer to DACS by name, describe DACS concepts, discuss, analyze, review, criticize, or compare DACS, quote reasonable portions of publicly available DACS materials with attribution, cite DACS in research, books, articles, presentations, and professional communications, link to official DACS publications, and create original explanatory material about DACS.
Reasonable descriptive reference to DACS does not by itself make a person or organization authorized, certified, endorsed, or affiliated with DataVaultAlliance.
13. Modified Materials, Forks, and Derivative Specifications
A person or organization may create its own original implementation documentation, procedures, mappings, software, controls, diagrams, or other materials that implement or explain DACS.
However, without written authorization from DataVaultAlliance, a person or organization may not:
- modify the official DACS Specification and distribute the modified document as DACS;
- publish a modified document as an official or authoritative DACS version;
- create a fork or derivative specification using DACS branding in a way likely to imply that it is an official DataVaultAlliance specification;
- remove authorship, copyright, version, source, or legal notices from a DACS publication;
- present third-party requirements as official DACS normative requirements; or
- create an official-looking DACS publication that is likely to be confused with a DataVaultAlliance publication.
A third-party extension may accurately state that it extends or maps to a specified DACS version if the statement is not misleading and does not imply that the extension itself is an official DACS requirement.
14. Translations
Translation of substantial copyrighted text from an official DACS publication requires DataVaultAlliance authorization unless the publication expressly grants translation rights.
A third-party translation may not be represented as an authoritative DACS publication unless DataVaultAlliance expressly designates it as authoritative.
DataVaultAlliance may establish separate translation licenses, terminology requirements, review procedures, and authorized-language editions.
15. Descriptive Use of the DACS Name
Accurate descriptive references to DACS are permitted.
For example, subject to accuracy, an organization may state that it uses the DACS Specification, implements controls based on DACS, uses DACS Accountability Gates, maps a product or process to specified DACS requirements, performs a self-assessment against a specified DACS version or Profile, or provides independent consulting relating to DACS implementation.
Where reasonably practical, the first substantive formal reference should identify:
DACS – Defensible Analytics Control Specification, stewarded by DataVaultAlliance.
Where version or Profile information is material, it should also be identified.
A descriptive reference must not falsely state or imply that DataVaultAlliance sponsors, endorses, authorizes, certifies, verifies, or has approved a person, organization, product, service, course, or implementation.
16. DACS Conformance
For DACS purposes, conformance means satisfaction of the applicable normative requirements defined by the authoritative DACS Specification, applicable Profile, published conformance rules, and other normative criteria identified by DataVaultAlliance for a defined scope.
DACS conformance is scope-specific.
Conformance of one decision scope, implementation, product, process, organizational unit, or use does not establish enterprise-wide conformance.
DataVaultAlliance may define and maintain DACS Profiles, conformance levels, required and conditional controls, evidence requirements, assessment criteria, approved assessment methods, evaluation or scoring rules, remediation requirements, reassessment requirements, certification requirements, expiration or renewal periods, and approved public claim language.
DataVaultAlliance may update those requirements for future assessments and certifications as DACS evolves.
17. Self-Assessment and Public Claims
Organizations may use publicly available DACS materials and authorized checklists to assess their own implementations.
Unless DataVaultAlliance publishes different claim rules, a public self-assessment claim should identify that the result is self-assessed, the applicable DACS version, the applicable Profile if any, the assessed scope, and the assessment date or period where material.
A self-assessment does not constitute DataVaultAlliance certification or independent verification.
A self-assessed organization must not describe itself or its implementation as DACS Certified, Certified by DataVaultAlliance, Officially DACS Certified, DataVaultAlliance Approved, DataVaultAlliance Verified, or another designation that reasonably implies official DVA certification or verification unless DataVaultAlliance has actually granted that status.
DataVaultAlliance may publish specific permitted wording for self-assessment and conformance claims.
18. DACS Conformance Is Not Legal or Regulatory Compliance
DACS conformance and legal or regulatory compliance are different concepts.
DACS conformance means that applicable DACS requirements have been evaluated for the defined DACS scope under the applicable DACS conformance rules.
DACS conformance does not establish, certify, warrant, or guarantee compliance with laws, regulations, regulatory guidance, contractual obligations, accounting standards, auditing standards, professional standards, industry regulations, or governmental requirements.
Organizations remain responsible for identifying and satisfying the legal, regulatory, contractual, and professional obligations that apply to them.
19. Official DACS Certification
Official DACS certification is governed by DataVaultAlliance.
DataVaultAlliance determines the scope and requirements of each certification program, including what may be certified, eligibility requirements, applicable DACS versions and Profiles, assessment requirements, evidence requirements, examination requirements, assessor qualifications, certification levels or categories, duration and expiration, renewal and reassessment, continuing education, remediation requirements, suspension and revocation, certification records, and authorized certification claims.
DataVaultAlliance may establish certification programs for individuals, implementations, organizations, products, platforms, vendors, or other defined subjects.
The mention of a possible certification category on this page does not mean that DataVaultAlliance currently offers certification in that category.
Only certification formally issued or expressly recognized by DataVaultAlliance is official DACS certification.
Certification is limited to the subject, scope, version, Profile, conditions, and period identified in the applicable certification record.
20. Certification Does Not Guarantee Correctness
DACS certification evaluates conformity with defined DACS requirements for the certified scope.
DACS certification does not guarantee that a business decision is correct, that source information is objectively true in every respect, that an analytical result is error-free, that an AI-generated output is correct, that an automated action will produce the desired outcome, that all relevant risks have been eliminated, that an organization complies with applicable law or regulation, or that future information, controls, conditions, or decisions will remain unchanged.
Certification must not be represented as providing such guarantees.
21. Certification Marks, Badges, and Seals
Any DACS certification mark, badge, seal, or other official certification identifier is governed by the certification standards and usage rules applicable to that program.
Nothing on this page grants a right to use a DACS certification mark, certification badge, or certification seal.
When DataVaultAlliance authorizes use of a certification identifier, it may be used only by an authorized user, for the certified subject and scope, during the period in which the certification remains valid, in the form approved by DataVaultAlliance, and in accordance with the applicable certification and mark-usage rules.
A certification identifier may not be altered, transferred, sublicensed, or used to imply certification of an uncertified person, organization, product, service, implementation, or scope.
DataVaultAlliance may require removal of a certification identifier when certification expires, is suspended, is revoked, or is otherwise no longer valid.
22. Official DACS Training and Education
Official DACS training, courseware, instructor materials, facilitator materials, exercises, labs, examination content, answer materials, certification-preparation materials, assessment materials, and other designated professional education materials are proprietary to DataVaultAlliance or its licensors.
Access to the public DACS Specification does not grant a license to reproduce, redistribute, adapt, or deliver official DACS training materials.
Only DataVaultAlliance and organizations or individuals expressly authorized by DataVaultAlliance may represent an offering as Official DACS Training, DataVaultAlliance Authorized DACS Training, DACS Certification Training, Authorized DACS Workshop, or another designation that reasonably implies DataVaultAlliance authorization.
Separate license agreements, instructor requirements, commercial terms, and quality controls may apply.
23. Independent Education and Consulting
Nothing in these terms prohibits lawful independent commentary, criticism, scholarship, research, consulting, or education concerning DACS.
Independent educators, consultants, analysts, authors, vendors, and speakers may discuss and explain DACS using lawfully available information and their own original materials.
They may not reproduce protected DataVaultAlliance courseware without permission, reproduce substantial protected portions of DACS publications except as permitted by these terms or applicable law, copy examinations or restricted assessment materials, claim that independent training is official or authorized when it is not, issue DataVaultAlliance certifications, create confusingly similar official-looking certificates, badges, or marks, or imply a relationship with DataVaultAlliance that does not exist.
Use of DACS in the title or marketing of an independent offering must be descriptive and must not create a false impression that the offering is produced, sponsored, endorsed, certified, or authorized by DataVaultAlliance.
24. Authorized Providers, Consultancies, Assessors, and Training Organizations
DataVaultAlliance may establish separate authorization programs for training organizations, instructors, assessors, consultancies, implementation providers, technology vendors, professional services organizations, and other providers.
Participation in an authorization program requires separate written authorization from DataVaultAlliance and may require training, certification, quality controls, commercial terms, audits, renewals, or other program requirements.
Implementing DACS or providing independent consulting concerning DACS does not by itself create authorized-provider status.
Authorization and certification are separate concepts unless DataVaultAlliance expressly combines them in a specific program.
25. DACS and DataVaultAlliance Trademarks
DACS, DataVaultAlliance names, logos, program names, certification identifiers, certification badges, and other source-identifying marks are protected to the extent provided by applicable law.
These terms allow accurate descriptive reference to DACS as stated above. They do not grant a general trademark license.
Without written authorization, a person or organization may not use a DataVaultAlliance-controlled mark as its company name, as the primary brand of its own product or service, in a domain name or social-media identifier in a manner likely to cause confusion, in a manner that implies DataVaultAlliance sponsorship or authorization, as an official-looking certification mark or badge, on a certificate purporting to be issued by DataVaultAlliance, or with words such as “official,” “authorized,” “certified,” “approved,” or “verified” when that status has not been granted.
DataVaultAlliance may publish separate trademark and certification-mark usage guidelines.
26. Restricted and Licensed Materials
Certain DACS materials may be made available only through training, workshops, certification programs, professional memberships, authorized organizations, paid subscriptions, licensed engagements, or other controlled-access arrangements.
Restricted materials may include official courseware, instructor and facilitator materials, advanced implementation playbooks, detailed assessment methodologies, assessor workbooks, scoring methodologies, examination content, answer keys, certification materials, specialized checklists, workshop materials, and other materials identified as restricted or licensed.
No rights to restricted materials are granted by these public terms except where expressly stated.
Whether material is ungated, lightly gated, password protected, available through training, or otherwise technically accessible does not by itself determine the intellectual property rights granted in that material.
27. No Endorsement of Third-Party Implementations
A third party may implement DACS without becoming a DataVaultAlliance partner, licensee, certified provider, or authorized representative.
Unless DataVaultAlliance expressly states otherwise, DataVaultAlliance does not review, endorse, certify, warrant, or assume responsibility for third-party implementations.
A person or organization offering a third-party implementation remains responsible for that implementation and for the claims it makes concerning that implementation.
28. Feedback and Contributions
DataVaultAlliance welcomes comments, corrections, suggestions, and other feedback concerning DACS.
Unless otherwise agreed in writing, submission of feedback grants DataVaultAlliance a nonexclusive, worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, incorporate, publish, distribute, and otherwise use that feedback for development, maintenance, improvement, certification, education, and promotion of DACS.
Submission of feedback does not transfer ownership of separately identified pre-existing intellectual property owned by the contributor.
Formal contributions to normative DACS materials may be subject to a separate contributor or intellectual property agreement.
29. No Professional Advice
DACS materials are provided for informational, educational, implementation, assessment, and governance purposes.
They do not constitute legal, regulatory, accounting, auditing, investment, tax, financial, or other licensed professional advice.
Organizations should obtain appropriate professional advice for their circumstances.
30. No Warranty
To the maximum extent permitted by applicable law, DACS and publicly available DACS materials are provided “as is” and “as available.”
DataVaultAlliance does not warrant that DACS will meet every organization’s requirements, is suitable for every decision or use, will identify every risk or defect, will ensure correct analytical or AI outcomes, will satisfy every applicable law or regulation, will eliminate the need for professional judgment, or will prevent loss, error, misuse, fraud, regulatory action, or other adverse outcomes.
Nothing in DACS replaces the responsibility of an organization or accountable decision owner to determine whether evidence is sufficient for the intended use.
31. Limitation of Liability
To the maximum extent permitted by applicable law, DataVaultAlliance and its officers, employees, contractors, licensors, and authorized representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to use or implementation of DACS or reliance on DACS materials.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.
Liability arising under a separate paid service, training, certification, advisory, licensing, or other commercial agreement is governed by that agreement.
32. Responsibility for Claims
You are responsible for ensuring that statements you make about your DACS implementation, assessment, conformance, certification, qualifications, authorization, or relationship with DataVaultAlliance are accurate and not misleading.
You must promptly correct or remove a statement, badge, certificate, or representation that no longer accurately reflects your status.
33. Suspension or Termination of Licensed Permissions
DataVaultAlliance may suspend or terminate permissions granted under these terms if a person or organization materially breaches the applicable conditions, misuses DataVaultAlliance intellectual property, makes materially false certification or authorization claims, or continues unauthorized use after notice.
Where reasonably practicable, DataVaultAlliance may provide an opportunity to cure a breach before termination. DataVaultAlliance may require immediate cessation of false certification claims, confusing trademark use, disclosure of restricted examination materials, or other misuse that could materially harm the integrity of DACS or the public.
Termination of a permission concerning DataVaultAlliance copyrighted material, marks, certification identifiers, or restricted materials does not create ownership by DataVaultAlliance of ideas, methods, systems, principles, facts, or other subject matter that applicable law does not protect as proprietary intellectual property.
34. Changes to DACS and These Terms
DataVaultAlliance may update DACS, future DACS versions, these terms, conformance requirements, certification requirements, trademark guidelines, and program rules.
Changes to these terms apply prospectively from the stated effective date unless applicable law or an express agreement provides otherwise.
The version-stability commitment in Section 7 applies to a DACS version already published under these terms.
DataVaultAlliance may separately determine whether an older DACS version remains eligible for new certification, renewal, reassessment, official support, or use of current certification marks.
35. Relationship to Website Terms and Separate Agreements
These terms govern the public permissions concerning DACS implementation, redistribution, conformance, certification references, and related DACS intellectual property addressed here.
DataVaultAlliance’s general website terms, privacy policy, and other legal policies continue to govern use of DataVaultAlliance websites and services where applicable.
If you have a signed agreement with DataVaultAlliance concerning training, certification, assessment, authorized-provider status, consulting, licensing, or other services, that agreement controls to the extent of a direct conflict with these public terms.
Nothing in these terms creates a partnership, franchise, joint venture, fiduciary relationship, employment relationship, agency relationship, or authority to bind DataVaultAlliance.
36. Governing Law and Venue
These terms, and all matters arising out of or relating to these terms, whether sounding in contract, tort, or statute, are governed by and construed in accordance with the laws of the State of Vermont, without giving effect to conflict-of-law rules that would require or permit application of the laws of another jurisdiction.
Any legal suit, action, or proceeding arising out of or relating to these terms will be instituted exclusively in the federal courts of the United States, namely the U.S. District Court for the District of Vermont located in Burlington, Vermont, or the courts of the State of Vermont located in Franklin County.
Each party irrevocably submits to the exclusive jurisdiction of those courts for such proceedings.
37. Severability and No Waiver
If any provision of these terms is held unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law.
Failure by DataVaultAlliance to enforce a provision in one instance does not waive the right to enforce that provision or another provision in the future.
